BELTSVILLE, MD., May 23, 2000--Biospherics Incorporated
(NASDAQ/BINC) shareholders, at the Company's Annual Meeting
yesterday, elected a slate of seven Directors for the ensuing
year, approved increasing the Company's authorized shares
from 18 million to 50 million, and retained Grant Thornton
LLP as the Company's public accountant for the year 2000.
The formal business meeting, originally scheduled for May
15, had been postponed until May 22 because of the lack of
a quorum caused by a delay in receiving proxy returns.
Elected as Directors for the year 2000-2001 were:
- Lionel V. Baldwin, Ph.D., President, National Technological
University, Fort Collins, Colorado.

- Gilbert V. Levin, Ph.D., President, Chief Executive
Officer, and Chairman of the Board, Biospherics Incorporated.
